Waada The Movement sold to pan-European consultancy group emagine

BarentsKrans advised the shareholders of Waada The Movement on the sale of the company to emagine, a pan‑European, high‑end business and IT consultancy group.

Waada The Movement is a Dutch leading digital transformation consultancy group, supporting organisations through IT-driven changes. The group operates across several jurisdictions, including the Netherlands, the United Kingdom and India.

Waada operates under two complementary brands: Prowareness, focusing on Agile, Lean and AI‑driven transformations for large enterprise organisations, and DevOn, which provides high‑end digital engineering and software development through a distributed delivery model with a substantial offshore hub in Bengaluru, India.

For Emagine, the acquisition means an addition of approximately €40 million to its annual turnover and a strong position in the Dutch market. Emagine has its headquarters in Copenhagen and is supported by investment company Axcel.

The transaction constituted an international, multi‑jurisdictional sale process, with close coordination between shareholders, management teams and advisers across different countries and legal systems.

BarentsKrans advised the shareholders of Waada throughout the transaction, including the structuring of the sale, negotiation of the transaction documentation and the coordination of the legal process across jurisdictions, ensuring a smooth execution of this cross‑border transaction.

The BarentsKrans M&A team on the transaction consisted of Michiel Martin, Anne Monique Huijg, Niek Klein Beernink and Jesper Vink, with notarial support from Robert‑Jan Zwaan and Alexandra Sonnenburg and competition law advice from Tim Raats.
